Terms of Service

The rules of the building. These terms apply to our website and, with each signed statement of work, to the agent systems we install and run for you.

Last updated [DD Month 2026] · Version 0.1

Draft template. Not legal advice. Have an Australian lawyer review it and replace every [bracketed] item before publishing.

You own your data and everything the agents produce for you.

Agents act only within the limits you approve in writing.

Final decisions on money, legal and access stay with you.

Your rights under the Australian Consumer Law are not affected.

1. The agreement

These terms are between Podhupu (ABN 18 203 418 456), trading as Teammate ("we") and the organisation that signs a statement of work or uses our services ("you"). If a statement of work conflicts with these terms, the statement of work wins for that engagement. Our Privacy Policy and data processing agreement also form part of the agreement.

2. Our services

We survey your operations, design agent systems ("floors"), connect them to your systems, test them, run them in shadow mode and, once you approve, operate and maintain them. Each statement of work sets out the floors in scope, the systems connected, the human checkpoints, the exam pass marks and the fees.

3. Agent actions and approvals

  • Approved limits. Agents act only within the permissions, spending limits and checkpoints recorded in the signed "house rules" for each floor. We will not widen them without your written approval.
  • Your approvals are yours. Where a person on your side approves an agent action, such as a payment run, refund, contract or deploy, that action is your decision.
  • AI can be wrong. Agents can make mistakes. That's why high‑stakes actions require human approval, and why you should review outputs as you would a new staff member's work.
  • Kill switch. You can pause any floor at any time from your dashboard or by contacting us.

4. Your responsibilities

You will give us accurate information and the access we reasonably need, keep your own credentials secure, make sure you have the right to share any data you provide (including any notices or consents your customers need), and nominate an owner for each floor.

5. Acceptable use

You must not use our services to break the law; deceive people about whether they are dealing with AI; send spam or contact people in breach of the Spam Act or Do Not Call Register; make decisions that unlawfully discriminate; impersonate real people; or attempt to bypass the guardrails we install.

6. Data and intellectual property

  • You own your data and the outputs our agents produce for you.
  • We own our platform, tools, methods and know‑how, and grant you a licence to use them for the term of the agreement.
  • We will not use your data to train AI models, or for research, without your written consent.
  • On termination we return your data in a standard format and delete it within [30] days, unless the law requires us to keep it.

7. Confidentiality

Each party will keep the other's confidential information secret and use it only for this agreement, except where disclosure is required by law. This continues after the agreement ends.

8. Fees

Install fees and monthly operating fees are set out in each statement of work. Invoices are payable within [14] days. Amounts are in Australian dollars and exclude GST unless stated. Model and telephony usage above the agreed allowance is billed at the rates in the statement of work.

9. Service levels

We target [99.9]% monthly availability for live floors, excluding planned maintenance notified in advance. If we miss the target, service credits apply as set out in the statement of work.

10. Australian Consumer Law and warranties

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Subject to that, we provide the services with due care and skill and as described in the statement of work, and give no other warranties.

11. Liability

To the extent permitted by law, each party's total liability under the agreement is capped at the fees paid or payable in the [12] months before the claim, and neither party is liable for indirect or consequential loss. The cap does not apply to breach of confidentiality, data protection obligations, fraud or wilful misconduct. Where the Australian Consumer Law applies, our liability may be limited to resupplying the services or paying the cost of resupply.

12. Suspension and termination

We may pause a floor immediately if it poses a security, legal or safety risk, and will tell you why. Either party may terminate for material breach not fixed within [30] days of notice, or for convenience on [90] days' notice after the minimum term.

13. General

These terms are governed by the laws of New South Wales, and the parties submit to the courts of that state. We may update these terms with [30] days' notice to clients; changes don't apply to a signed statement of work until it renews. Notices: hello@teammate.autos.
